Terms of Service

1. Parties & Acceptance

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Smart Vendor Solutions, Inc. ("Company," "we," "our," or "us"), a California corporation, governing your use of the SmartVendor App (available on iOS and Android) and our website at svsi.com (collectively, the "Services").

By downloading the SmartVendor App, creating an account, or using any portion of our Services, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms in full.

2. Description of Services

Smart Vendor Solutions, Inc. provides:

• SmartVendor App: A mobile business application for iOS and Android providing compliance tracking, transportation scheduling, driver management, document vault storage, and reporting tools for transportation vendors serving California Regional Centers and the Department of Developmental Services (DDS).
• Compliance Consulting: Professional consulting services to assist vendors with DDS certification, Title 17 CCR compliance, audit preparation, and related services.
• Website: Informational content and support resources at svsi.com.

The SmartVendor App is a productivity and record-keeping tool. It does not constitute legal advice, and Smart Vendor Solutions, Inc. does not guarantee that use of the App will result in compliance with any regulatory requirement. Users are responsible for independently verifying compliance with all applicable laws and regulations.

3. Accounts & Registration

To use the SmartVendor App, you must create an account using a valid email address and password. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized access to your account.
• Be responsible for all activity occurring under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent, illegal, or abusive purposes.

4. Subscription & Payment

Full access to the SmartVendor App requires a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• For subscriptions purchased through the Apple App Store or Google Play Store, billing is managed by Apple or Google respectively, and their terms govern refunds and cancellations.
• All fees are in US Dollars and are non-refundable except as required by applicable law or as stated in our refund policy.
• We reserve the right to change subscription pricing with 30 days' advance notice to current subscribers.

5. Acceptable Use

You agree to use the Services only for lawful business purposes. You may not:

• Use the Services to store, transmit, or process data in violation of any applicable law.
• Attempt to gain unauthorized access to any portion of the Services or related systems.
• Reverse engineer, decompile, or disassemble the SmartVendor App.
• Use the Services to infringe on the intellectual property rights of any third party.
• Upload malicious code, viruses, or any other harmful software.
• Resell, sublicense, or otherwise transfer access to the Services to third parties without our written consent.

6. Intellectual Property

The SmartVendor App, including its design, code, features, content, and branding, is the exclusive intellectual property of Smart Vendor Solutions, Inc. and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the SmartVendor App for your legitimate business purposes in accordance with these Terms. This license does not transfer ownership of the App or any of its components.

7. Your Data

You retain ownership of all data and documents you upload to the SmartVendor App. By uploading data, you grant Smart Vendor Solutions, Inc. a limited license to store and process that data solely for the purpose of providing the Services to you.

We handle your data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. Upon account termination, you may request export or deletion of your data as described in the Privacy Policy.

8. Disclaimers

THE SMARTVENDOR APP AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Smart Vendor Solutions, Inc. does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the information provided through the Services constitutes legal, regulatory, or professional compliance advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART VENDOR SOLUTIONS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR REGULATORY PENALTIES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

You may cancel your subscription and delete your account at any time through the app settings or by contacting us at support@svsi.com.

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms, non-payment of subscription fees, or for any other reason at our sole discretion, with or without notice.

Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 11 (Governing Law) survive termination of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
